Expert Tools Terms of Use

1. Licence

– Echo.Legal provides a perpetual, non-exclusive, non-transferable licence to use the “Expert Tool” widget(s) described in the Order Form (the “Software”).

– The Software may be used only for the Customer’s own internal business purposes.

– The Customer may not copy, redistribute, rent, lease, sub-license, or reverse engineer the Software.

2. Delivery and Installation

– The Software will be delivered electronically.

– Initial installation by Echo.Legal is included, this will require a screenshare with one of Customer’s HighQ system administrators.

3. Intellectual Property

– All intellectual property rights in the Software remain with Echo.Legal (excepting any open source libraries used by the tools).

– The Customer may modify the Software code for its own use, however Echo.Legal will not support modified versions under the Support service described below.

4. Support

– Echo.Legal will provide bug fixing and patching (e.g. updates should an API version be deprecated) support for a period of two (2) years the date of the Order Form for the Expert Tool.

– The support provided is over the latest version of the Software available to the Customer only.

– Support excludes major upgrades, enhancements, or new features.

5. Liability

– Echo.Legal’s total liability under this Agreement is limited to the licence fee paid by the Customer.

– Echo.Legal will not be liable for any indirect or consequential losses arising from use of the Software.

6. Governing Law

– These Terms of Use and disputes relating to the Software are governed by the laws of England and Wales.

– The courts of England and Wales will have exclusive jurisdiction.
